1. Definitions
In these Terms and Conditions, the following terms have the meanings set out below:
- "Axiologic" means Axiologic Pte. Ltd., a company registered in Singapore.
- "Service" means any AI consulting, data auditing, or development service offered by Axiologic.
- "Client" or "you" means the individual or organisation engaging Axiologic's services.
- "Website" means the website accessible at axiologinses.
- "Engagement" means a specific service project governed by a signed Scope of Work.
- "Deliverables" means the documented outputs produced during an Engagement.
- "Scope of Work" means the written agreement detailing objectives, deliverables, timeline, and fees for a specific Engagement.
2. Acceptance of Terms
By using this Website or entering into an Engagement with Axiologic, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you are accessing the Website or Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
You must be at least 18 years of age and have the legal capacity to enter into agreements to use our Services. These Terms apply to all visitors to the Website and all Clients.
3. Service Description
Axiologic provides professional AI consulting and development services including data quality and preparation audits, recommendation engine design and deployment, and AI Centre of Excellence design engagements. Services are delivered in Singapore and governed by individual Scope of Work documents agreed in writing before work begins.
The Website is provided for informational purposes. Content on the Website does not constitute professional advice and should not be relied upon as such without entering a formal Engagement.
4. Engagements and Scope of Work
Every Engagement is preceded by a written Scope of Work defining objectives, deliverables, timeline, fees, and responsibilities. No billable work commences until the Scope of Work is signed by both parties. The Scope of Work, together with these Terms, forms the complete agreement for each Engagement.
Changes to scope during an Engagement require a written change order agreed by both parties before additional work is performed. Axiologic will not proceed with out-of-scope work without prior written agreement.
5. User Responsibilities
When using the Website or engaging Axiologic's Services, you agree to:
- Provide accurate and complete information in all communications and forms
- Not use the Website for any unlawful purpose or in any way that disrupts its operation
- Not attempt to gain unauthorised access to any part of the Website or Axiologic's systems
- Cooperate reasonably with Axiologic's team during an Engagement, including providing access to required data and personnel
- Maintain confidentiality of any Axiologic proprietary materials shared during an Engagement
6. Intellectual Property
All content on the Website — including text, design, structure, and branding — is the intellectual property of Axiologic and protected under Singapore's Copyright Act 2021. You may not reproduce, adapt, or redistribute Website content without written permission.
Upon full payment for a completed Engagement, Axiologic assigns to the Client full ownership of the specific Deliverables produced for that Engagement. Axiologic retains ownership of its general methodologies, frameworks, toolkits, and reusable components that are not specific to the Client's Engagement. Where any third-party components are included in Deliverables, the relevant third-party licences apply.
7. Payment Terms
Fees for each Engagement are as stated in the applicable Scope of Work and are denominated in Singapore Dollars (SGD). Invoices are issued at milestones agreed in the Scope of Work. Payment is due within 14 days of invoice date unless otherwise specified in the Scope of Work.
Late payments may be subject to interest at 1.5% per month on the overdue amount. Axiologic reserves the right to suspend work on an Engagement where payment is materially overdue and communication regarding the overdue amount has not been responded to within 7 business days.
All fees are exclusive of Goods and Services Tax (GST) where applicable under Singapore law.
8. Cancellation and Refunds
Either party may terminate an Engagement by providing written notice. Where the Client terminates before completion, fees for work completed to the date of termination are payable. Where Axiologic terminates due to circumstances outside its control, a proportionate refund of prepaid fees will be issued.
Because Engagements involve professional time and preparation, refunds are not available after work has commenced unless Axiologic is in material breach of the Scope of Work.
9. Confidentiality
Both parties agree to maintain the confidentiality of non-public information disclosed during an Engagement. Axiologic will not share Client data, findings, or commercial information with third parties without the Client's explicit written consent, except where required by law. This obligation survives termination of an Engagement for a period of three years.
10. Disclaimers
Axiologic's Services are provided on a professional best-efforts basis. While we aim to deliver high-quality work within the agreed scope, we do not warrant that Deliverables will produce specific business outcomes or financial results. AI systems and data-driven models involve inherent uncertainty, and results depend in part on factors outside Axiologic's control including data quality, platform conditions, and business decisions made by the Client.
The Website and its content are provided "as is". Axiologic makes no warranty as to the accuracy, completeness, or suitability of Website content for any particular purpose.
11. Limitation of Liability
To the fullest extent permitted under Singapore law, Axiologic's total liability to the Client for any claim arising from an Engagement shall not exceed the total fees paid by the Client for that specific Engagement.
Axiologic shall not be liable for any indirect, consequential, special, or punitive damages, including loss of profits, loss of data, or loss of business, even where Axiologic has been advised of the possibility of such damages.
12. Indemnification
You agree to indemnify and hold harmless Axiologic, its directors, and team members from any claims, losses, or damages arising from your misuse of the Website, your breach of these Terms, or your violation of any applicable law or third-party rights.
13. Termination
Axiologic reserves the right to terminate access to the Website or refuse service to any party that violates these Terms. Upon termination of an Engagement, the Client's right to use any in-progress or unpaid-for Deliverables ceases. Provisions relating to intellectual property, confidentiality, payment of fees, and limitation of liability survive termination.
14. Dispute Resolution
In the event of a dispute arising from these Terms or any Engagement, the parties agree to first attempt resolution through good-faith discussion. If the dispute is not resolved within 30 days of written notice, either party may refer the matter to mediation under the Singapore Mediation Centre before pursuing formal legal proceedings.
These Terms are governed by the laws of Singapore. The courts of Singapore have exclusive jurisdiction over any disputes not resolved through mediation.
15. General Provisions
These Terms, together with the relevant Scope of Work, constitute the entire agreement between the parties for each Engagement and supersede all prior discussions or representations. If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force. Failure to enforce any provision does not constitute a waiver of that right.
Axiologic may assign its rights and obligations under these Terms in connection with a business transfer or restructuring. You may not assign your rights under these Terms without Axiologic's prior written consent.
16. Changes to These Terms
Axiologic may update these Terms from time to time. Updated Terms will be published on the Website with a revised effective date. Continued use of the Website or Services after the effective date constitutes acceptance of the updated Terms. For active Engagements, updates to Terms will not apply until the current Engagement concludes unless agreed otherwise in writing.
